NovaChat AI — Terms of Service (TOS)

1. Introduction

Welcome to NovaChat AI (“NovaChat,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your use of NovaChat AI’s software, website, applications, and all related services (collectively, the “Platform”). By creating an account or using NovaChat AI, you agree to be legally bound by these Terms and our Privacy Policy. If you do not accept these Terms, do not use the Platform.

2. Eligibility & Account Registration

  • You must be at least 18 years old to use NovaChat AI.
  • You agree that all information provided during registration is accurate, current, and complete.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Services and Permitted Use

  • NovaChat AI provides AI-powered chat automation, analytics, and integration services for content creators, agencies, and related businesses.
  • You agree to use the Platform only for lawful and authorized purposes.
  • You may not (i) use NovaChat AI for illegal activities, (ii) attempt to access or use accounts or data not belonging to you, (iii) reverse-engineer, copy, or misuse our code or AI models, or (iv) use the Platform to harass, defraud, or harm any person or entity. -You are responsible for monitoring AI-generated content and ensuring it complies with relevant laws and your own platform’s policies (e.g., OnlyFans).

4. Data Collection and Use

  • By using NovaChat AI, you consent to the collection, storage, processing, and use of your data as described in our Privacy Policy.
  • You grant NovaChat AI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and analyze all content, data, media, and messages provided through or synced with the Platform for the purpose of providing, improving, and developing our services, products, and AI models.
  • We may use your data (including but not limited to chat logs, images, media, and usage statistics) for product enhancement, analytics, research, quality assurance, and operational needs, subject to applicable law and our Privacy Policy.

5. Payment, Subscription, and Billing

  • NovaChat AI operates on a subscription and/or usage-based billing model as described on our website or in your account dashboard.
  • Payments are securely processed via third-party providers. You agree to pay all fees and charges in accordance with your selected plan and applicable terms.
  • NovaChat AI may change pricing, plan structures, or service features with notice. Price changes will not affect already-paid subscription periods.
  • Failure to pay may result in suspension or termination of your account.

6. Third-Party Integrations

  • The Platform may integrate with third-party services (e.g., OnlyFans, Telegram, Fanvue). By enabling such integrations, you agree to their respective terms and acknowledge that NovaChat AI is not responsible for the actions, outages, or data practices of those services.

7. Intellectual Property

  • NovaChat AI and all related software, code, content, logos, trademarks, and documentation are the exclusive property of [Company Name] or its licensors.
  • You may not use, reproduce, or distribute NovaChat AI’s intellectual property except as permitted by these Terms or with written consent.

8. Disclaimers and Limitation of Liability

  • NovaChat AI is provided “as is” and “as available” without warranties of any kind, express or implied.
  • We do not guarantee that the Platform will be error-free, uninterrupted, or completely secure.
  • To the maximum extent permitted by law, NovaChat AI and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, lost profits, data loss, or business interruption arising from your use or inability to use the Platform—even if advised of the possibility of such damages.
  • You acknowledge that use of automated AI services involves inherent risks, and you agree to use NovaChat AI at your own risk.

9. Indemnification

  • You agree to indemnify, defend, and hold harmless NovaChat AI, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

10. Suspension and Termination

  • We reserve the right to suspend, restrict, or terminate your account at any time for violation of these Terms, legal requirements, or security reasons, with or without notice.
  • You may terminate your account at any time by following the procedures in your dashboard or by contacting support. No refunds are issued for partial or unused subscription periods unless required by law.

11. Modifications to Service and Terms

  • NovaChat AI may update these Terms and make changes to the Platform at any time. Significant changes will be communicated via email or notice within the Platform. Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Virginia, USA. Any dispute arising under or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts located in Virginia.

13. Entire Agreement

  • These Terms, together with our Privacy Policy, constitute the entire agreement between you and NovaChat AI regarding your use of the Platform, superseding any prior agreements.
  • By creating an account or using NovaChat AI, you agree to these Terms of Service and the Privacy Policy. If you do not agree, do not use the Platform.
